AGREEMENT ON COMPENSATION TRADE

This Agreement is made and entered in to on (date) 20..by and among (name of company) (hereinafter called Party A), ( Name of Company)(hereinafter called Party B) and (Name of Company) (hereinafter called Party C), whereby the three parties agree to conclude the following compensation trade on the terms and conditions set forth below:
本协议于（日期）20..由（公司名称）（以下简称甲方），（公司名称）（以下简称乙方）及（公司名称）（以下简称 丙方）三方制作达成。三方赞许根据以下条款达成以下赔偿贸易：
1.After friendly discussions with (Name of Company) Party A agrees to supply (Name of Commofity) to Party B from (date) 20..(quantity) each month, or (quantity) each year. The aforesaid goods shall be manufactured by Party C for Party B with machines supplied by Party B. Party B gurantees to place orders with Party A for approximately the above stated quantity each month, During the period from 20.. to 20.., Party A shall give priority to the orders from Party B for (Name of Commodity) as mentioned above provided that Party B advises party A of its requirements half a year in advance, failing which Party A shall not reserve the goods for Party B.
与（公司名称）友好协商后，甲方赞许每年从20..（日期）每月按（数量），每年按（数量）供应（商品名称）给乙方。 上述货色由丙方用乙方供应的机器制造，乙方应每月向甲方下订单约即是上述数量，在20 ..至20 ..期间，甲方 A应该优先考虑上述乙方对（商品名称）的订单，条件是乙方向甲方提前半年关照乙方的哀求，甲方不得向乙方预订货色。
2.In order to raise the quality of the products, Party B agrees to supply Party A with (quantity)machines manufactured by (Name of Manufacturer) (details as per the attached list) amounting to (amount) plus (various expenses) and interest at (rate of interest)% per annum, Party A shall settle the amount by instalments before (date)20.., by deducting it from the total value of the (Name of Commodity) to be supplied to Party B.
为提高产品质量，乙方赞许向甲方供应（数量）由（制造商名称）制造的机器（详见附表），数额为（数额）加（各种用度）和年利息 （利率）％，甲方应在20..(日期）前分期支付款额。通过向乙方供应的（商品名称）的总代价中扣除按分期付款的金额办法结算。
3.Party B shall guarantee that the machines to be provided are in accordance with Party C's requirments and specifications, If there is any problem in the performance of the machines, Party A shall have the right to claim against Party B for any loss or losses to the extent of the responsibility as guaranteed to be assumed by the manufacturer.
乙方应担保供应的机器符合丙方的哀求和规格，如果机器的性能有任何问题，甲方有权要求乙方对甲方的任何丢失乙方承担起由制造商承担的任务范围。
4.Party B shall notify (Name of Manufacturer) to join in supervising the installation and repair of the machines.

5.Party B shall have the right to inspect the quality of the (Name of Commodity) in the course of manufacturing and if any defect of the products is found, Party B should advise Party A to set it right immediately.

6.The price and other terms shall be specified in detail in each contract when it is concluded.

7. Any complaints or disputs in connection with this agreement or the execution thereof shall be settled through friendly negotiation.
